Terms & Conditions

1) Who we are

These Terms & Conditions (“Terms”) govern your access to and use of Propound.org (the “Site”) and any services, content, features, or applications offered by us (collectively, the “Services”). “Propound,” “we,” “us,” and “our” refer to [your legal entity name].

2) Acceptance of Terms

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
 

3) Eligibility

You must be at least 13 years old (or the age of digital consent in your jurisdiction, e.g., 16 in parts of the EEA) to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.


4) Accounts & Security

  • You may need an account to access some features. Provide accurate information and keep it updated.

  • You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

  • Notify us immediately of any suspected unauthorized use or security incident.

  • We may reclaim usernames on behalf of businesses or individuals that hold legal rights to them.


5) User Content & License

User Content means any text, images, files, links, feedback, or other material you submit or upload.

  • You retain ownership of your User Content.

  • You grant Propound a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify (e.g., formatting), create derivative works (e.g., translations), display, and distribute your User Content solely to operate, improve, and promote the Services.

  • You are responsible for your User Content. You represent that you have all rights necessary to grant this license and that your content does not violate any law or third-party rights.


6) Acceptable Use

You agree not to, and not to allow others to:

  • Violate any law, contract, intellectual property right, or other third-party right.

  • Upload or transmit malware, malicious code, or do anything that could disable, overburden, or impair the Services.

  • Scrape, crawl, or use automated means to access the Services except as permitted by robots.txt or our written permission.

  • Attempt to bypass security controls, rate limits, or authentication.

  • Post content that is unlawful, defamatory, harassing, hateful, deceptive, pornographic, or otherwise objectionable.

  • Impersonate any person or entity or misrepresent your affiliation.

  • Use the Services for high-risk activities where failure could lead to death, personal injury, or severe environmental damage.

We may suspend or terminate access for violations.


7) Intellectual Property

  • The Services (including software, design, text, graphics, and logos) are owned by Propound or our licensors and are protected by intellectual property laws.

  • Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Services.

  • Feedback. If you provide ideas or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.


8) Software & API (if applicable)

If we provide downloadable software or an API, we grant you a limited, revocable, non-transferable, non-exclusive license to use it solely to access the Services as permitted by these Terms and any accompanying documentation. You may not reverse engineer or attempt to extract source code except to the extent allowed by law.


9) Third-Party Services & Links

The Services may link to third-party websites, software, or services. We do not control and are not responsible for third-party content or practices. Your use of third-party services is at your own risk and may be governed by their terms and privacy policies.


10) Payments (if enabled)

  • Fees. Some features may require payment of fees, shown at checkout or in your account.

  • Billing. You authorize us and our payment processors to charge your payment method for fees, taxes, and any applicable recurring charges.

  • Subscriptions. Unless otherwise stated, subscriptions automatically renew at the then-current rate until canceled. You can cancel before the next billing cycle to avoid future charges.

  • Refunds. Except where required by law or our posted policy, fees are non-refundable.

  • Taxes. You are responsible for applicable taxes.


11) Termination

You may stop using the Services at any time. We may suspend or terminate your access at any time with or without notice, including if you violate these Terms or create risk or legal exposure for us. Upon termination, provisions that by their nature should survive (e.g., IP rights, disclaimers, limitations of liability, indemnities, dispute resolution) will survive.


12) Disclaimers

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that content will be accurate or reliable.


13) Limitation of Liability

To the fullest extent permitted by law:

  • Propound and its affiliates, officers, employees, agents, partners, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the Services.

  • Our total liability for any claim arising out of or relating to these Terms or the Services is limited to the greater of (a) the amount you paid to us for the Services in the 12 months preceding the event giving rise to the claim, or (b) USD $100.

Some jurisdictions do not allow certain limitations, so the above may not apply to you to the extent prohibited by law.


14) Indemnification

You will defend, indemnify, and hold harmless Propound and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services, (b) your User Content, or (c) your violation of these Terms or applicable law.


15) Changes to the Services & Terms

We may modify or discontinue all or part of the Services at any time. We may update these Terms from time to time. When we do, we will update the “Effective date” above and may provide additional notice (e.g., a banner or email). Your continued use after changes become effective constitutes acceptance of the updated Terms.


16) Privacy

Your use of the Services is also subject to our Privacy Policy (separate document). Please review it to understand how we collect, use, and share information.


17) Copyright Complaints (DMCA/Similar)

If you believe content on the Services infringes your copyright, you may submit a notice to our designated agent:

Include all required elements under 17 U.S.C. §512(c)(3) (or applicable law). We may remove content and terminate repeat infringers in appropriate circumstances.


18) International Use & Export

You are responsible for complying with local laws when accessing the Services. You agree not to export or re-export any part of the Services in violation of U.S. or other applicable export control laws.


19) Governing Law; Venue

These Terms are governed by the laws of Delaware, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction and venue of the courts located in a to be determine location for any disputes that are not subject to arbitration (if applicable).


20) Dispute Resolution & Arbitration (Optional)

If you choose to include arbitration:

  • Agreement to Arbitrate. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by [arbitration provider, e.g., AAA] under its rules, rather than in court.

  • Class Action Waiver. Disputes will be arbitrated only on an individual basis; class actions and class arbitrations are not permitted.

  • Opt-Out. You may opt out of arbitration by sending written notice to [arbitration-optout@propound.org] within 30 days of first accepting these Terms.

  • Venue & Fees. The seat of arbitration will be chosen later . Each party pays its own fees unless the rules or law provide otherwise.

  • Exclusions. You or we may bring claims in small claims court and seek injunctive relief for IP or security matters.

(If you don’t want arbitration, delete this section and rely on Section 19.)


21) Consumer Rights

Nothing in these Terms is intended to limit any non-waivable consumer rights under applicable law (e.g., EEA/UK consumer law). If you reside in a jurisdiction that grants you mandatory rights, these Terms apply to the maximum extent permitted and shall be interpreted to preserve those rights.


22) Force Majeure

We will not be liable for any delay or failure to perform due to events beyond our reasonable control, including acts of God, labor disputes, power failures, internet outages, or government actions.


23) Communications

By creating an account or providing your email, you consent to receive service-related communications (e.g., security alerts, updates). You can opt out of non-essential marketing emails at any time.


24) Miscellaneous

  • Entire Agreement. These Terms, plus any posted policies or addenda (e.g., Privacy Policy, product-specific terms), are the entire agreement between you and us regarding the Services.

  • Severability. If any provision is unenforceable, the remaining provisions remain in effect.

  • No Waiver. Our failure to enforce a provision is not a waiver.

  • Assignment. You may not assign or transfer these Terms without our consent. We may assign these Terms as part of a merger, acquisition, or sale of assets.

  • Headings. Headings are for convenience only and do not affect interpretation.

  • Language. If these Terms are translated, the English version controls to the extent of any inconsistency.
